FAIRGROUND TERMS AND CONDITIONS

Welcome to Fairground Music Limited ("Fairground", "we", "our", or "us"). These Terms and Conditions ("Terms") govern your access to and use of the Fairground website, mobile applications, and related services (together, the "Platform").

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.

1. Eligibility and Use of the Platform

1.1 Eligibility

You must be at least 13 years old to use the Platform. If you are under 18, you represent and warrant that you have obtained permission from a parent or legal guardian to use the Platform and to agree to these Terms on your behalf.

Fairground may require verification of parental consent where reasonably necessary.

1.2 Account Registration

Some features require you to create an account. You agree to:

provide accurate, current, and complete information;

keep your account details up to date; and

maintain the confidentiality of your login credentials.

You are responsible for all activity that occurs under your account.

1.3 Platform Availability and Changes

Fairground reserves the right to modify, suspend, or discontinue any part of the Platform (temporarily or permanently) at any time, with or without notice. Fairground shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Platform.

2. Content and Intellectual Property

2.1 User Content

Fairground allows users to upload, submit, and share content, including music, audio recordings, artwork, text, comments, metadata, and other materials ("User Content").

You retain ownership of your User Content. By uploading or submitting User Content, you grant Fairground a worldwide, non-exclusive, royalty-free licence to host, store, display, stream (where applicable), and distribute that User Content solely for the purpose of operating, improving, and promoting the Platform.

This licence does not transfer ownership and Fairground will not sell or otherwise commercially exploit your User Content outside the Platform without your express permission.

No Endorsement of User Content

Fairground does not endorse, verify, or guarantee the accuracy, completeness, quality, or legality of any User Content. All User Content is the sole responsibility of the user who Posts it, and Fairground shall not be responsible or liable for any User Content made available on the Platform.

2.2 Rights and Clearances

You represent and warrant that:

you own or control all rights necessary to upload and share your User Content;

your User Content does not infringe any third-party rights (including copyright, neighbouring rights, performance rights, or moral rights); and

any required licences or permissions (including for samples, covers, or third-party works) have been obtained.

You are solely responsible for your User Content and any consequences of sharing it on the Platform.

Use of Artificial Intelligence

Fairground is a platform for human-created music and creative works. Content that is wholly or substantially generated by artificial intelligence systems or text-to-music prompting tools ("AI-Generated Content") is not permitted on the Platform. This also applies to images, video and editorial copy.

Fairground's mission is to support and showcase human creativity, and the Platform is not intended for the distribution of AI-generated content.

Where User Content involves minor use of artificial intelligence tools, you represent and warrant that the content reflects substantial human creative input and that you hold all necessary rights to upload and share it.

Fairground reserves the right, at its sole discretion, to review, remove, or restrict access to content that it reasonably believes to be AI-Generated Content or to violate these Terms. Other users may report any music or content found on the platform they suspect has been created using AI tools.

You remain solely responsible for ensuring that any AI-assisted content complies with applicable laws, does not infringe third-party rights, and complies with these Terms.

2.3 Fairground Content

All content provided by Fairground, including software, branding, design, text, graphics, and logos ("Fairground Content"), is owned by or licensed to Fairground and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from Fairground Content without prior written consent.

3. Purchases, Tickets, and Transactions

3.1 In-App Purchases

Where enabled, Fairground may offer digital products or services for purchase. All purchases are final unless otherwise required by applicable law or platform policies.

Where purchases are made via Apple's In-App Purchase system, payment will be processed by Apple and governed by the app store's terms and policies. Refunds and disputes must follow the app store's rules.

3.2 Ticket Sales and Events

Fairground may facilitate the listing and sale of tickets for events organised by third parties ("Event Organisers"). Fairground acts solely as a technology platform and is not the organiser, promoter, producer, or host of any event.

Event Organisers are solely responsible for the event, including its content, scheduling, delivery, safety, compliance with applicable laws, and any communications with attendees.

Fairground does not control and is not responsible for event cancellations, postponements, changes, refunds, or any loss, damage, injury, or expense arising from attendance at or cancellation of an event, unless expressly stated at the point of purchase or required by applicable law.

Any dispute relating to an event or ticket purchase must be resolved directly between the attendee and the Event Organiser.

3.3 Payments

Payments may be processed by third-party payment providers. Additional terms may apply and will be presented during the transaction process. Taxes, duties, or charges related to purchases are your responsibility unless stated otherwise.

Where subscriptions are offered, they may auto-renew unless cancelled before the end of the current billing period. Subscription management and cancellation may be required through the relevant app store or payment provider.

Fairground does not guarantee perpetual access to content. Content may be removed or access restricted for legal or rights-related reasons. Refunds will only be provided where required by law.

4. Prohibited Activities

You agree not to:

upload or share unlawful, infringing, defamatory, abusive, or misleading content;

use the Platform for illegal or fraudulent purposes;

attempt to gain unauthorised access to systems or data;

interfere with or disrupt the security or functionality of the Platform.

Fairground may remove content or restrict access if these Terms are violated.

5. Moderation and Enforcement

Fairground does not actively monitor all User Content but reserves the right to remove, restrict, or disable access to content that violates these Terms or applicable law, or that Fairground reasonably considers harmful to the Platform or its users.

Violations may include, without limitation:

infringement of copyright or other intellectual property rights;

uploading content without the necessary rights, permissions, or licences;

impersonation of another person or entity;

fraudulent, deceptive, or misleading activity;

harassment, hate speech, threats, or abusive conduct;

distribution of malware, spam, or harmful code;

attempts to bypass Platform safeguards or access systems without authorisation;

use of the Platform for unlawful purposes.

Fairground may take enforcement action including content removal, account suspension, or termination, with or without notice, where reasonably necessary.

Users may report content they believe violates these Terms or applicable law through the Platform or by contacting Fairground.

6. Limitation of Liability and Disclaimer

To the maximum extent permitted by law, Fairground shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with your use of the Platform, including:

User Content;

third-party services or content;

transactions between users; or

actions taken by Fairground in good faith under these Terms.

Fairground's total liability arising out of or relating to your use of the Platform shall be limited to the fees paid by you to Fairground in the six months preceding the claim, if any.

The Platform is provided on an "as is" and "as available" basis. Fairground disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

Fairground is not responsible for resolving disputes between users except as expressly set out in these Terms.

7. Third-Party Services

The Platform may integrate with or rely on third-party services, including payment processors, hosting providers, and analytics services.

Fairground is not responsible for the availability, performance, security, or content of any third-party services. You are responsible for complying with any third-party terms and policies.

Fairground operates solely as a technology platform. Any transactions for content, tickets, or services occur directly between users. Fairground is not a party to such transactions and is not responsible for fulfilment, refunds, cancellations, or disputes, except where required by law.

8. Indemnification

You agree to indemnify and hold harmless Fairground, its directors, officers, employees, and partners from any claims, losses, damages, liabilities, or expenses arising from:

your use of the Platform;

your User Content; or

your breach of these Terms.

9. Termination

Fairground may suspend or terminate your access to the Platform at any time if you violate these Terms or where required to do so by law.

You may stop using the Platform at any time. Upon termination, licences granted to Fairground solely for the operation of the Platform may continue as necessary.

You may close your Account at any time by using the account settings or other functionality made available on the Platform.

Effect of Termination

Upon termination, provisions of these T&Cs which by their nature are intended to survive termination shall continue in effect, including provisions relating to intellectual property, limitation of liability, and indemnification.

User Content: Any User Content you have submitted may be deleted upon account closure or termination.

10. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated by posting updated Terms on the Platform or by other reasonable means. Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of England & Wales, without regard to conflict of law principles. Courts located in England & Wales shall have exclusive jurisdiction.

Nothing in these Terms limits any consumer rights you may have under mandatory laws applicable in your country of residence.

12. Privacy

Your privacy is important to us. Please review our Privacy Policy. It describes how we collect, use, and share information when you use the Platform.

13. App Store Additional Terms

These Terms are between you and Fairground only, not any app store provider. App store providers have no responsibility for the Platform or its support.

Your use of the Platform through any app store is also subject to that app store's terms and conditions. You agree to comply with all applicable rules of the app store in addition to these Terms.
